Terms and Conditions for Hudaway BD

IMPORTANT NOTICE: These Terms and Conditions constitute a legally binding agreement between you (“User,” “Customer,” or “Merchant”) and Hudaway BD (“Platform,” “We,” “Us,” or “Our”). By accessing, browsing, or using the Hudaway BD website and its services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

 

1. Introduction and Acceptance of Terms

 

1.1. Acceptance: Your access and use of the Platform signifies your explicit acceptance of these Terms, as well as our Privacy Policy. If you do not agree with any part of these Terms, you must not use or access this Platform.

1.2. Key Definitions:

  • Platform: The e-commerce website and services operated by Hudaway BD.

  • Customer: Any individual or entity that purchases Products via the Platform.

  • Merchant/Vendor: Any independent third-party seller registered to list and sell Products on the Platform.

  • Products: The Islamic, Hajj, Umrah, and related goods and services listed for sale by Merchants.

 

2. The Marketplace Role of Hudaway BD

 

2.1. Intermediary Role: Hudaway BD functions exclusively as an independent technology platform that facilitates sales transactions between Customers and Merchants. We provide the digital venue, infrastructure, and payment processing facility.

2.2. Non-Seller Status: Hudaway BD is not the seller of record for the majority of Products listed. The legally binding contract of sale for Products is solely between the Merchant and the Customer.

2.3. Merchant Responsibility: Merchants are solely responsible for the description, quality, authenticity, pricing, stock availability, legality of the goods, and for the entire fulfillment process, including packaging and shipping.

 

3. User Accounts and Security

 

3.1. Registration: To purchase or sell on the Platform, registration may be required. You must provide accurate, complete, and current information.

3.2. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Hudaway BD immediately of any unauthorized use.

3.3. Age Restriction: Users must be at least 18 years of age or possess legal parental or guardian consent to use this Platform.

 

4. Products, Pricing, and Ethical Commerce

 

4.1. Product Authenticity: Merchants are required to ensure that all Products, especially those of religious significance (e.g., prayer items, modest wear, Hajj gear), are authentic, accurately described, and compliant with relevant ethical and religious standards.

4.2. Pricing: Product prices are determined solely by the Merchant. Prices include all applicable taxes required under Bangladesh law unless otherwise stated.

4.3. Shariah Commitment: Users and Merchants agree to conduct all activities on the Platform in a manner consistent with general principles of ethical and permissible Islamic commerce (Mu’amalat). Products or content that are explicitly Haram (impermissible) are strictly prohibited and will lead to immediate suspension.

 

5. Order Processing, Payment, and Fulfillment

 

5.1. Order Acceptance: The placement of an order by a Customer constitutes an offer to purchase the Product from the Merchant. The Merchant’s acceptance is confirmed upon processing the order and/or providing shipping notification.

5.2. Payment Processing: Hudaway BD facilitates payment processing on behalf of the Merchant. By making a payment, the Customer authorizes Hudaway BD or its third-party payment processor to charge the provided payment method. Payment upon delivery (Cash on Delivery) may be offered at the Merchant’s discretion.

5.3. Shipping and Delivery: Shipping estimates, costs, and methods are provided and managed by the Merchant. Hudaway BD is not responsible for delays, damage, or loss incurred during shipping, though we will assist in mediating disputes.

5.4. Returns, Exchanges, and Refunds:

  • The specific return, exchange, and refund policy (including eligibility and timeline) is determined by the individual Merchant and is displayed on the respective product page.

  • Customers must contact the Merchant directly for all return or refund requests.

  • Hudaway BD will only intervene in refund disputes at its own discretion and solely based on the Merchant’s published policy.

 

6. Intellectual Property

 

6.1. Platform Content: All content on the Platform (excluding content uploaded by Merchants), including trademarks, logos, and software, is the property of Hudaway BD and is protected by intellectual property laws.

6.2. Merchant Content: Merchants grant Hudaway BD a non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute their product listings, images, and brand materials solely for the purpose of operating and promoting the Platform.

 

7. Limitation of Liability and Disclaimer

 

7.1. NO WARRANTY: THE PLATFORM AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HUDWAY BD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2. Limitation of Liability: To the fullest extent permitted by law, Hudaway BD shall not be liable for any damages (direct, indirect, incidental, special, or consequential) resulting from: (i) the use or inability to use the Platform; (ii) the conduct or actions of any Merchant or Customer; or (iii) any defects in the Products purchased. Your sole remedy against Hudaway BD for dissatisfaction with the Platform or any content is to stop using the Platform.

 

8. Termination and Suspension

 

Hudaway BD reserves the right to suspend or terminate any User or Merchant account and access to the Platform immediately, without prior notice, for any reason, including, without limitation, a breach of these Terms, unethical conduct, or violation of our Shariah Commitment.

 

9. Governing Law and Jurisdiction

 

These Terms and Conditions shall be governed by and construed in accordance with the laws of The People’s Republic of Bangladesh. You agree to submit to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh for the resolution of any disputes arising out of these Terms.

 

10. Changes to Terms

 

We reserve the right to modify or replace these Terms at any time. We will notify Users of significant changes by posting the revised Terms on the Platform and updating the “Effective Date.” Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
